Terms of Service

These Terms of Service ("Terms") govern your use of Talksmith Studio ("Service"), operated by Anderson Global Enterprises ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. The Service

Talksmith Studio is a production platform that converts voice recordings into structured business assets — course kits, SOPs, scripts, workbooks, and slide decks — using AI transcription and generation technology. The Service is intended for professional and commercial use by coaches, consultants, educators, course creators, and agencies.

2. Account Registration

You must create an account to use the Service. You agree to provide accurate information and to keep your credentials secure. You are responsible for all activity that occurs under your account. We use Clerk, a third-party authentication provider, to manage sign-in. You must be at least 18 years old to use the Service.

Studio plan subscribers may access the kit marketplace to publish and sell kit templates to other Talksmith users. By publishing to the marketplace:

7. API Access (Pro and Studio Plans)

Pro and Studio plan subscribers may generate scoped API keys to integrate with the Service programmatically. API use is subject to rate limits described in our API documentation. API keys must not be shared publicly or embedded in client-facing code. You are responsible for all API activity under your keys.

8. Third-Party Services

The Service integrates with third-party providers including OpenAI (transcription and kit generation), Supabase (file storage), Clerk (authentication), Stripe (billing), PDFShift (PDF generation), and Gamma (slide decks). Your use of these integrations is subject to those providers' respective terms of service and privacy policies. We are not responsible for the acts or omissions of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANDERSON GLOBAL ENTERPRISES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Anderson Global Enterprises and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

12. Termination

We may suspend or terminate your account at any time for violation of these Terms. You may delete your account at any time by contacting support. Upon termination, your right to use the Service ends immediately. We may retain certain records as required by law or legitimate business purposes. Sections 5, 9, 10, 11, and 13 survive termination.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved through binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with proceedings conducted in New York County, New York. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Your continued use after the effective date constitutes acceptance of the updated Terms.

This Privacy Policy describes how Anderson Global Enterprises ("Company," "we," "us," or "our") collects, uses, and protects information in connection with Talksmith Studio ("Service"). By using the Service, you agree to the practices described here.

We do not sell your personal data to third parties. We do not use your data to train AI models unless you have separately and explicitly opted in to such use.

4. AI Processing Disclosure

Your uploaded recordings are sent to OpenAI's Whisper API for transcription and to OpenAI GPT (or Anthropic Claude) for kit generation. These providers process your content under their own enterprise privacy terms. Audio content is transmitted securely (TLS) and is not used by these providers to train their public models under our API agreements. You should not upload recordings containing highly sensitive personal information (medical, financial, legal) without understanding how those providers handle data.

We implement reasonable administrative, technical, and physical safeguards to protect personal information as required under the New York Stop Hacks and Improve Electronic Data Security (SHIELD) Act and other applicable data security laws. In the event of a data breach affecting New York residents, we will notify affected individuals as required by law.

The Service is not directed to individuals under the age of 18. We do not knowingly collect personal information from children. If we learn that we have collected information from a child under 18, we will delete it promptly.

9. Cookies and Tracking

We use session cookies required for authentication (managed by Clerk). We do not use third-party advertising trackers or sell behavioral data to advertisers. Our marketing site may use minimal analytics to understand aggregate traffic patterns.

We may update this Privacy Policy from time to time. Material changes will be communicated via email or in-app notice. Your continued use of the Service after the effective date of any update constitutes acceptance of the revised Policy.
